Job Duties

Assist the Director – Tax Planning, Controversy, and Research, and other members of the tax planning team on internal and external legal matters
Draft subsidiary board resolutions, consents, distribution/contribution agreements, and intercompany financing agreements
Collaborate with the legal department on entity creations and dissolutions
Work from and maintain a database of precedent documents
Maintain and draft structure charts and transaction step-plans
Assist with legal research projects
Support tax controversy matters
Prepare memoranda documenting transactions

Qualifications

5+ years of experience in an AmLaw 250 law firm, Big4 accounting firm, or large corporate environment
Strong legal writing background with experience drafting complex commercial agreements
Bachelor’s degree from an accredited 4-year university
Experience with common non-U.S. holding company jurisdictions (preferred)
