Job Duties
- Under direct supervision, reviews agreements or proposed agreements with customers for conformity to company policies, contract policy, rates, rules, and regulations.
- Analyzes contracts and confers with various department heads to detect ambiguities, inaccurate statements, omissions of essential terms, and conflicts with possible legal prohibitions.
- Recommends contract modifications, converts agreements into contract forms, and prepares amended agreements for approval.
- Initiates changes in standard form contracts and conducts negotiations with customers.
- Must possess the ability to understand and review terms and conditions of contracts.
- Minimum of 3 years experience in Legal, Procurement or Business Development working with contracts, proposals, tenders, the bidding process, contract reviews and/or negotiations is preferred. Training or the equivalent combination of education and competency is also acceptable.
Role Summary
The Contracts Specialist will support the organization’s commercial and legal operations by drafting, reviewing, negotiating, and managing a variety of contracts. The role requires strong legal acumen, attention to detail, and the ability to work closely with cross‑functional teams to mitigate contractual and commercial risk while ensuring compliance with company policies and applicable laws.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts, including but not limited to:
- Customer and vendor agreements
- Service contracts and master service agreements
- NDAs, amendments, addenda, and change orders
- Ensure contractual terms are compliant with applicable laws, internal policies, and risk guidelines.
- Identify contractual risks and deviations from standard terms; propose mitigation strategies and obtain required internal approvals.
- Provide contract-related guidance to internal stakeholders including commercial, procurement, finance, operations, and management teams.
- Manage contract lifecycle activities, including contract execution, amendments, renewals, and close-out.
- Maintain accurate and up-to-date contract records in the contract management system.
- Support audits, internal reviews, and compliance initiatives related to contracts.
- Track contractual obligations, milestones, and deliverables to ensure timely performance.
- Assist in dispute resolution by supporting fact-finding, documentation, and coordination with internal or external legal counsel.
- Stay updated on relevant legal and contractual developments impacting commercial contracts.
Qualifications
Qualifications & Experience
- Education:
- Bachelor’s degree in law (LLB or equivalent) from a recognized university.
- Experience:
- Approximately 4 years of experience in contract drafting, review, and negotiation.
- Experience in commercial contracts, preferably in a corporate, energy, infrastructure, EPC, or services environment.
- Licensing (Preferred but not mandatory):
- Enrolment with a State Bar Council.
