Job Duties

Corporate Attorney, Legal (Kazakhstan-Based; Middle East & North Africa and Caspian regions)

 

Key Responsibilities:

  • Corporate Governance & Entity Administration: Support legal entities/branches registrations, appointment and changes of directors, trade license amendments. Coordinate notaries certification and consular legalization of documents (including arranging in-person signing sessions with directors and visiting notaries); maintain corporate entity records on internal systems.
  • Powers of Attorney: Draft, coordinate execution, and manage renewal of powers of attorney for company representatives across Middle East and Caspian jurisdictions.
  • Commercial Contracts & Procurement Support: Prepare and review Parent Company Guarantees (PCGs), Certificates of Authorization (COAs), and financial confirmation letters for RFP/tender submissions; coordinate approvals with in-house counsel and business stakeholders.
  • Prequalification & Government Relations Documentation: Compile and provide corporate documents (MOA, trade licenses, ownership certificates, shareholder resolutions) for client prequalification processes; liaise with government relations and business development teams.
  • Litigation & Dispute Support: Assist regional counsel with commercial court cases, customs appeals, law enforcement authority matters, and employment disputes by coordinating with outside counsel, collecting documents, preparing Matter Retention Letters (MRLs), and tracking case developments across the MENA and Caspian regions.
  • Company Seals & Stamps: Coordinate production, custody, and management of company stamps for regional entities.
  • Agency & Branch Registration: Manage commercial agency registrations, branch registrations, and related filings in Middle East & North Africa and Caspian jurisdictions.
  • Migration & Work Permit Matters: Assist with work permit and migration-related legal issues in Middle East & North Africa and Caspian jurisdictions.
  • Outside Counsel Invoice & Budget Management: Receive, review, track, and process invoices from external law firms across multiple jurisdictions; follow up on outstanding or returned invoices and coordinate payment with finance/accounting teams.

Qualifications

Requirements :

  • Bachelor's degree in Law, Business Administration, or a related field; a legal diploma or paralegal qualification is a strong advantage.
  • 5–7 years of experience in a corporate law attorney, legal coordinator, or paralegal role within the oil & gas, energy, or heavy industry sector, preferably in a multinational environment.
  • Experience with corporate entity management, entities registration, director changes, trade license processes, consular legalization, notarizations, etc.
  • Demonstrated working knowledge of legal and regulatory frameworks in the broader Caspian region (Azerbaijan, Kazakhstan, Turkmenistan, Uzbekistan), and the Middle East & North Africa (UAE, Iraq, Kuwait, Saudi Arabia, Oman, Algeria, etc.).
  • Fluency in English (written and spoken) is essential; proficiency in Russian and/or Kazakh is required given the Kazakhstan base; Arabic is a strong advantage.
  • Experience tracking and processing law firm invoices and managing outside counsel billing.
  • Experience supporting in-house or outside counsel on commercial disputes, customs matters, or employment cases.
  • Strong organizational and multitasking skills; attention to detail; ability to work independently across time zones; effective communication with internal stakeholders, external counsel, and government authorities.
  • Willingness to travel within the Middle East and Caspian regions as required.
